General Terms of Sale and Delivery

Lock technology
Effective as of 1st January 2023

General Provisions
These General Terms of Sale and Delivery govern the relationship between the Buyer and STS Systemtechnik Schänis GmbH (hereinafter STS) in relation to the delivery of STS locking technology products.

Sale
The products are sold through specialized dealers.

Non-binding Guide Prices
Our gross prices are non-binding price recommendations. We expressly reserve the right to adjust prices, in particular, if due to changes of economic conditions or of currency exchange rates.

Delivery / Shipping
At the buyer's risk and expense. Any damage or loss that occurs during shipping must therefore immediately be claimed by the Buyer against the respective carrier.

Shipping Costs:

  • Up to 2'000.00 CHF net value of goods, express shipments and export shipments: Delivery ex works, no duty or taxes paid
  • In case of a net value of goods of less than 150.00 CHF a small quantity surcharge of 30.00 CHF will be applied.
  • Normal shipments within Switzerland with a net value of goods exceeding 2'000.00 CHF: delivery carriage paid, except capacity-rated heavy goods traffic tax (LSVA).
  • A surcharge of 25.00 CHF will be applied to direct shipments to processing plants.

Packaging and bags are billed at cost and will not be taken back. Boxes, pallets, covers and frames must be returned to Schänis immediately upon receipt of the goods. Otherwise they will be billed.

Order Quantities
Orders will be delivered in the next higher standard quantity. Unless the difference exceeds 10 % of the ordered quantity, the Customer will not be notified.

Complaints / Complaint Period
The supplied goods must be checked immediately (not later than 8 working days from delivery). Any defects must be notified in writing.

Our article numbers are coded logical, to decode please visit our website. Complaints based on wrong article numbers won’t be accepted.

Warranty / Liability
All our products are checked before they leave our premises. Defective material must be made available to us in full in order to allow us to evaluate the warranty claim.

Our warranty is as provided by the General Regulations Governing Construction Work (Allgemeine Bestimmungen für Bauarbeiten, SIA Norm 118 of 1.1.2013) and include in particular a right to remedy any defects. If the defect was fully or partially caused by the recipient (or an auxiliary person), costs must be distributed accordingly. SIA To the extent permitted under applicable law, we shall have no further liability, save as provided for under SIA Norm 118.

Returns
Goods, which were correctly delivered by us, can only be returned after prior written agreement. They will be credited at 70 % of the billed price only. Custom products, which were manufactured in accordance with specific drawings or measurements, cannot be returned at all. Generally, only immaculate goods, which are as new and only complete packaging units can be returned. They must in any case be returned to our premises carriage paid. All shipping documents must include the invoice number and the reason for the return. We reserve the right, not to credit the return, if this information should be missing.

Tools and Equipment
Tools and equipment remain - even if the costs are borne by the Buyer - the property of STS and will be stored by us for the purpose of repeat orders free of charge for a period not exceeding 2 years.

Transfer of title to the customer: Only as expressly agreed in writing in each individual case and only after full payment has been made. In case the Customer should become full or partial owner of the tools, the Customer must compensate STS for storing the tools at STS. This will be charged at 5% of the cost of the tools, but at not less than 500.00 CHF per year.

Where we are to deliver items, which are manufactured on basis of drawings, a model or sample, provided by the Buyer, the Buyer warrants that no third party rights are breached by doing so. The Buyer indemnifies STS against all harm that might be suffered as a result of such a breach of third party rights.

Any varying agreements made verbally or by telephone shall not be valid, unless confirmed in writing.

Sales Documents
We do not warrant measurements and weight statements provided in our sales documents and expressly reserve the right to make changes for the purpose of usability improvements or a more attractive design, or which may be due to improved manufacturing methods.

Delivery Times/Delivery Periods
The delivery times stated in offers and orders are not binding. They depend on the status of raw material procurement and delivery times of suppliers as well as our production capacity at the time of offer or order confirmation. Non-compliance with our delivery times and dates does not give rise to claims for damages or the rejection of a delivery. Force majeure (such as military mobilization, strikes, boycotts of our own premises or of the premises of our suppliers) shall release us from all obligations to deliver. Fixed contracts can subsequently only be cancelled or amended by agreement.

Rights in Documents
The documents provided by STS are protected by intellectual property rights and by laws governing unfair competition. The use of text, measurements and photos is only permitted for the purpose of reselling our products.

Payment Terms
30 days net. For custom productions on submission of the offer. No deductions may be made. The Buyer is to bear all expenses caused by late payment.

Consignment goods remain our property until fully paid.

Jurisdiction and Applicable Law
Place of performance and exclusive jurisdiction for all disputes arising under this contract is the place, where STS (Schänis) has its registered offices. Only Swiss law shall apply (Vienna Convention excluded).
